These terms and conditions govern your use of Iana Lahi Beyond Mentoring™ (hereinafter “Website”). By using the Website, you accept these terms and conditions in full and without reservation. If you disagree with these terms and conditions or any part of these terms and conditions, you must not use the Website or engage with Iana Lahi for her professional coaching and related services.

AGE AND SOUND MIND

To access or use our Website or use Company, Iana Lahi and Spirit Gateways® Institute services, you must be 18 years or older and have the requisite mental capacity to enter into legal agreements. By using this Website or purchase business and/or professional and/or personal coaching and related services provided by Company, Iana Lahi or Spirit Gateways® Institute you warrant and represent that you are at least 18 years of age and agree to be bound by Company policies.

The information contained in the Website is for general information purposes only. The terms “us”, “we”, and “I” refer to the owner of the Website. The term “you” and/or “Client” refers to the user, or viewer of the website and the purchaser of business intuitive, oracle and seer coaching services.

While we endeavor to keep the information up to date and correct, we make no representations or warranties of any kind, express or implied, regarding the accuracy, reliability, completeness availability or suitability with respect to the Website or the information, products, services, or related graphics contained on the website for any purpose. Any reliance you place on such information is therefore strictly at your own risk.

The information contained in or made available through the website and in the associated products, and services, including but not limited to information contained on the Website blogs, vlogs, courses, recordings, videos, books, comment section, and other written or audio-visual materials, as well as information imparted during individual professional mentoring, facilitating, intuitive, oracle and seer coaching and related professional service sessions, cannot replace or substitute for the services of trained and licensed professionals in any field, including, but not limited to: business, financial, medical, psychological, psychiatric, mental health, or legal matters.

By accessing the Website and/or using Company products and services such as individual personal and/or professional and/or business mentoring, facilitation, intuitive, oracle and seer coaching, you affirm and acknowledge that life coaching, spiritual coaching, mentorship and/or small business coaching are not forms of or substitutes for business, legal financial or emotional or psychological counseling, psychotherapy, mental health care or other medical or health care intervention of any kind.

Iana Lahi is not a licensed professional in any of these areas, Should that change, all private clients will be notified in writing and the information will be made public via this web page.

Iana Lahi is not and does not claim to be a licensed business, legal or financial advisor or a medical or mental health intuitive or professional of any kind. Further, professional and/or personal mentoring, facilitation intuitive and/or oracular services and/or spiritual coaching is not a licensed activity in the State of Arizona or any other jurisdiction within North America at the time of this writing.

In addition, participating in business, and/or professional, and/or personal mentoring, facilitation and/or intuition, oracle and seer coaching may entail risks associated with a challenging program of business, personal growth, and development, including risks of mental or emotional upset, entering into trance states, energy activations within the body, as well as risks that may not be foreseeable when you begin a coaching or mentorship engagement.

By purchasing a business and/or professional and/or personal mentoring, facilitation and/or intuition, oracle or seer coaching and services product and participating in business and/or professional and/or personal mentoring, facilitation and/or intuition, oracle or seer coaching, you freely and voluntarily assume all such risks and you acknowledge and agree that you are responsible and accountable for your decisions, actions and results in life, and you agree not to attempt to hold the Website, Iana Lahi and Spirit Gateways® Institute and any Company directors, employees, members, associates, suppliers or contractors liable for any such decisions, actions or results, at any time and under any circumstance and to release Iana Lahi and Spirit Gateways® Institute from any personal financial liability in perpetuity in all jurisdictions worldwide.

On the Website and products, we may occasionally discuss mature topics and language relating to personal and professional and/or business growth. If you believe that any content on the Website is in copyright violation, please submit a request in writing to have it removed. This is the full extent the Website’s legal responsibility in any such matter.

These terms will be governed by and interpreted in accordance with the laws of the State of Arizona U.S.A. without reference to any conflict of laws or provisions. Any action relating to the use of the Website, services or your online purchase must be brought in the state or federal courts located in the State of Arizona, in the County of Yavapai, and the parties hereby submit to the exclusive personal jurisdiction and venue of such courts. You hereby irrevocably waive the defense of an inconvenient forum to the maintenance of such action or proceeding.

You may not assign, charge, sub-contract or otherwise transfer your rights or obligations under these terms, and any attempt by you to do so shall be null and void. We may assign, charge, sub-contract or otherwise transfer any of our rights or obligations arising hereunder at any time. No waiver of any term contained herein, whether by conduct or otherwise, shall be effective except in a writing signed by the party to be charged with the waiver. If any provision of these terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining terms shall remain in full force and effect, and such invalid or unenforceable provisions or portion thereof shall be deemed omitted.

PROFESSIONAL AND/OR BUSINESS AND/OR PERSONAL DISCOVERY CALL FOR PROFESSONAL MENTORING, COACHING, FACILITATING AND RELATED SERVICES

VOLUNTARY PARTICIPATION

Client understands and agrees that he/she is voluntarily choosing to use the Beyond Mentoring™ program services and read all communications including emails, text messages, and website content of Iana Lahi, Spirit Gateways® Institute and Company and it is solely up to Client to decide what he/she would like to do with the information received.

Client acknowledges and agrees that Company is not responsible nor liable to Client should Client sustain any physical, mental, psychological, or financial injuries, incur harm, or encounter any negative ramifications. Client agrees that he/she is fully responsible for his/her health, well-being, career and job and/or professional success, finances, and investments, corporate and/or business or professional decisions and any other object or matter, regardless of participation in and Beyond Mentoring™ program and/or Long-term Client business, professional and/or personal mentoring, coaching, facilitation, oracle, intuitive and seer session and any results therein.

PROFESSIONAL, BUSINESS AND PERSONAL MENTORING, COACHING, FACILITATION AND RELATED SERVICES

Sessions are conducted by telephone and/or online video conference on Zoom or similar online video conferencing platform, unless otherwise agreed upon. Telephone or online video sessions will not be recorded by Iana Lahi or Spirit Gateways® Institute.

A scheduling calendar will be provided to you with reminders of your sessions by email. Please be on time for your sessions to get the maximum benefit from your mentoring, coaching and facilitation services and utilize every minute of your session.

SCHEDULING

Session reminders are emailed out approximately 48 hours in advance and text messages are sent out 24 hours in advance. If you need to reschedule, please use your calendar link to do so with twenty-four (24) hours notice. This is about you and I respecting each other’s time.

PAYMENT AND REFUNDS

The business, professional and personal mentoring, coaching, and facilitation services provided by Iana Lahi are at her sole discretion and are available to you as a long-term client for the 9-month length of Beyond Mentoring™ program of professional services.

Discovery Call – A 30-minute Discovery Call is required for all Beyond Mentoring™ clients or prospective clients. You can schedule a Discovery Call via the Calendly link on the Website. The Discovery Call may or may be a fee-for-services call, at the discretion of Iana Lahi. You may be asked to submit your credit card payment information before your appointment can be scheduled.

All appointments will be confirmed by email and a text message for the appointment will be sent 24 hours prior to the scheduled appointment.

Rescheduling is allowed provided that the rescheduling occurs twenty-four (24) hours prior to the appointment time and is done using the link provided in the confirmation email.

Scheduled appointments are specific and restricted to the 30-minute time allotted. If a Client shows up late for their appointment, Iana Lahi reserves the right, at her sole discretion and with reasonable expectation, the Client can expect to have this same period of time deducted from their allotted 30-minute meeting or if Iana Lahi consents, extend the session to its scheduled 30-minute length.

No refunds are given if the client does not show up for their scheduled Discovery Call appointment and cannot verify that they tried to reschedule and/or contact Iana Lahi by email at least twenty-four (24) hours prior to the scheduled appointment.

Discovery Call sessions are not recorded.

Discovery Calls are not mini-mentoring, coaching, or facilitation sessions nor are they mini-intuitive, oracle or seer sessions. Discovery Calls are intended to mutually discover if the Beyond Mentoring™ program of professional mentoring, coaching and/or facilitation services offered by Iana Lahi and Spirit Gateways® Institute are appropriate and in alignment with the Client and their specific business, professional, personal and/or humanitarian needs are in alignment with Iana Lahi and if the services offered can provide resolution to Client needs.

Long-Term Beyond Mentoring™ Clients – Long-term client engagements for the nine (9) months of the Beyond Mentoring™ program are intended for those clients seeking a wider more longtail approach to their business, professional and personal concerns.

Long-term Beyond Mentoring™ clients are based on a per month commitment, paid in advance on the first day of each month commencing on the first day of consultation and following on the 30-day anniversary date for each of the next 5 months.

Full payment for each month of the 9-month engagement must be tendered at least 24 hours prior to first day of consultation and thereafter twenty-four (24) hours prior to the monthly anniversary date for the duration of the engagement.

Iana Lahi reserves the right to cancel any scheduled telephone or online video meetings should the agreed upon financial consideration not be present and cleared in her or the Spirit Gateways® Institute bank account 24-hours before the scheduled consultation for each of the first or ongoing 30-day engagement period.

Long-term Beyond Mentoring™ clients have the full and undivided attention of Iana Lahi and can email, phone and text Iana Lahi on a 24/7 basis for related personal, professional and/or business mentoring, coaching, facilitating and intuitive, oracular and seer responses to pressing questions or concerns. Iana Lahi will do her very best to respond by email, phone, or text within twenty-four (24) hours after receipt of said email, text or phone call or voice mail with the understanding that at times, due to Iana Lahi’s consulting schedule and geophysical location may experience unavoidable delays in receiving text, email, or phone communications. In these circumstances, Iana Lahi will respond as quickly and expeditiously as possible given scheduling and technology challenges.

Phone and or online video sessions are as long or as short as needed to respond to the client needs at that point in time.

Phone and online video sessions are not recorded by Iana Lahi.

Once monthly payment is tendered, no refunds are provided for that month.

Iana Lahi recognizes that circumstances can change, and an appointment needs to be rescheduled. Rescheduling is allowed provided that the rescheduling occurs twenty-four (24) hours prior to the appointment time and is done using the link provided in the confirmation email.

An Engagement Agreement for Long-term Beyond Mentoring™ program Client services will be sent to the Client prior to the Client’s first Beyond Mentoring™ program and/or business intuition, oracle and seer session. The Engagement Agreement will specify the terms and conditions of the engagement. The Client must return a counter-signed Engagement Agreement prior to the first Client session. The Engagement Agreement may be sent via an online document signing service such as DocuSign in which case an electronic signature will have the same legal veracity as a wet blue ink signature.

In-Person Retreats

In-person retreats are Phase I of three (3) phases of the nine (9) month Spirit Gateways® BEyond Mentoring™ program.

In-person retreats are an alternative to two consecutive weekend one-on-one sessions conducted between Iana Lahi and client via phone or online video services. Each client may choose the in-person retreat or the two consecutive weekends by online video and/or phone.

In-person retreats may be held at the home of the client or at a resort or hotel of the client’s choosing with approval by Iana Lahi.

If the retreat is held at a location remote to the client, the client is advised to allow at least one (1) day before the retreat for travel and rest prior to the beginning of the retreat session and one (1) day after the retreat so that the client is not rushed to get to the airport before the completion of the four (4) days.

If the in-person retreat is conducted at the client’s primary residence, vacation home or place of business, client agrees that for the duration of the 4-day in-person retreat plus one day/night before and after the retreat, Iana Lahi will stay at a hotel or resort in close geographic proximity to the client location. Under no circumstances will Iana Lahi stay onsite at the client’s primary residence, vacation home or place of business.

If at a remote location or a hotel near the client home, the client has the discretion to choose the location and venue provided it a publicly known and well-regarded 5 star or equivalent venue. Iana Lahi reserves the right to suggest alternate locations should the location and venue chosen by the client be potentially injurious in any way to Iana Lahi due to location, quality, or integrity of the venue.

In either event, whether at the client’s home or vacation location or at a remote resort or hotel, the client agrees to pay all round-trip airfare, ground transportation and hotel accommodations for Iana Lahi for the four (4) days of the in-person retreat plus at least one day and night each before and after the retreat.

Client will pay for roundtrip airfare from Iana Lahi’s then current location, inclusive of all ground transportation and related costs and will consult with Iana Lahi for the appropriate airline and related reservations. All hotel and/or resort accommodation fees for Iana Lahi will be borne by the client and noticed via email to Iana in advance of Iana Lahi traveling to the hotel/resort for the 4-day in-person retreat. Iana Lahi will pay for her own meals during the 4-day in-person retreat, the day prior and after the retreat and all personal travel days.

CONFIDENTIALITY AND PRIVACY

All potential clients who engage in a Discovery Call, and all clients who engage either for individual Beyond Mentoring™ program and or consultation sessions or Long-term are held in the highest levels of privacy and confidentiality. Your name and/or business name will never be publicly or privately revealed nor will your name or contact information be rented or sold by Iana Lahi and Spirit Gateways® Institute.

Each and every phone or online video session for a Discovery Call, Beyond Mentoring™ client and for long-term clients, every text message or voice mail is held in the strictest level of privacy and confidentiality.

Should a Beyond Mentoring™ or long-term client request a private encrypted email, text or telephone conversation, Iana Lahi will do her very best to accommodate using available technology platforms provided that such a request is made at least twenty-four (24) hours in advance of any scheduled session and that Iana Lahi and the client mutually agree to use a specific platform and to each share their personal contact information such as mobile telephone number and direct email only for the purposes of conducting a private, confidential and secure text, phone or online video conversation.

Iana Lahi agrees to keep all conversations, email and text communications and information with the client private and strictly confidential. No personal or business ideas, information or thoughts expressed by the client will be shared with anyone except with the express written permission of the client.

The business intuition, oracle and seer coaching relationship, as well as all information that the client shares with Iana Lahi loosely adheres to the definition of confidentiality by the International Coaching Federation (ICF) code of Ethics but is not considered a legally confidential relationship. Iana Lahi will not disclose the client’s name as a reference without the Client’s express written consent.

Confidential information does not include information that:

(a) was in Iana Lahi’s possession prior to its being furnished by the Client;

(b) is generally known to the public or in the Client’s industry;

MUTUAL NON-DISCLOSURE

A Mutual Non-Disclosure Agreement will be signed and counter-signed by all Beyond Mentoring™ program and long-term Clients with Iana Lahi and Spirit Gateways® Institute before engaging in a Beyond Mentoring™ session or a long-term client engagement.

This Non-Disclosure Agreement is mutual and is for the client’s benefit as well as Iana Lahi and Spirit Gateways® Institute.

Upon notification that a client has scheduled a Beyond Mentoring™ program or long-term engagement, the client will be sent via email a Mutual Non-Disclosure Agreement that must be counter-signed and returned to Iana Lahi at info@ianalahi.com or in the case of any online service such as DocuSign or similar online service, reviewed and signed electronically online.

Both client and Iana Lahi and Spirit Gateways® Institute will retain a signed version of the Mutual Non-Disclosure Agreement.

DISCLAIMER OF LIABILITY / NO GUARANTEES

All Beyond Mentoring™ program and long-term Clients will, as part of the Mutual Non-Disclosure Agreement agree to a disclaimer of liability for Iana Lahi and Spirit Gateways® Institute for any and all results or non-results that may ensue from the Client’s actions based on their interpretation of what Iana Lahi has told them in a Beyond Mentoring™ program session either in-person or by phone, text or video communications or in a business intuitive, oracle and/or seer session or sessions.

Iana Lahi, Spirit Gateways® Institute Company cannot guarantee results of the Beyond Mentoring™ program session and/or business intuitive, oracle and/or seer session, and cannot make any representations or guarantees regarding individual results. Client will hold Company, Iana Lahi and Spirit Gateways® Institute and each and every business intuitive, oracle and/or seer session harmless if he or she Client does not experience the desired results. Iana Lahi, Spirit Gateways® Institute Company is not responsible for Client earnings, professional or personal outcomes or any increase or decrease in Client finances based upon information Client interpreted as a result of participating in a Beyond Mentoring™ program session or a business intuitive, oracle and seer session whether as an individual business Long-term Client engagement.

Client understands there are sometimes unknown risks and circumstances that may arise during or following use of Iana Lahi , Spirit Gateways® Institute and Company services, email and Website content that cannot be foreseen or anticipated but may influence or affect Client’s business or Client as an individual.

Client understands he/she has complete power over his/her own life. What Iana Lahi, Spirit Gateways® Institute and Company says may be accepted as information to aid in decision-making, but Client confirms any decisions ultimately remain with Client, and he/she is solely responsible for them.

Iana Lahi, Spirit Gateways® Institute and Company may offer mentoring, advice, coaching, consulting, suggestions, and/or recommendations in conjunction with business intuitive, oracle and/or seer session; however, Client understands and agrees he/she must ultimately make any decision and must bear all responsibility for his/her own decisions, whether or not based upon the reading, advice, or recommendation of Company, Iana Lahi and Spirit Gateways® Institute.

Client understands that all services provided by Company, Iana Lahi and Spirit Gateways® Institute in connection with the Beyond Mentoring™ program and business intuitive, oracle and/or seer sessions being purchased are provided on an “as is” basis, meaning it is without any guarantees, representations, or warranties, including but not limited to warranties relating to quality, non-infringement, fitness for a particular purpose, merchantability, or expectation or course of performance. Client does not hold Company, Iana Lahi and Spirit Gateways® Institute or any specific or non-specific singular or collective Beyond Mentoring™ session or sessions or business intuitive, oracle and/or seer session or sessions responsible should Client become dissatisfied with any portion of any Beyond Mentoring™ session or sessions or business intuitive, oracle and/or seer session or its after affects.

Client agrees that he/she does not have a cause of action, legal remedy, and is not entitled to a refund should he/she not achieve the results desired following completion of any single Beyond Mentoring™ or business intuitive, oracle and/or seer sessions, series of sessions, email or text messages between Client and Iana Lahi.

Client also understands Company, Iana Lahi and Spirit Gateways® Institute is not a doctor, nurse, attorney at law, financial adviser, licensed therapist, psychotherapist, psychiatrist, mental health professional or other certified or licensed business professional, and agrees to hold Company, Iana Lahi and Spirit Gateways® Institute harmless should any physical, emotional, mental, psychological or financial injury occur as a direct or indirect result of the Beyond Mentoring™ session and or business intuitive, oracle and/or seer session. Client understands Company, Iana Lahi and Spirit Gateways® Institute cannot guarantee results from any Beyond Mentoring™ session or sessions and/or a single or multiple business intuitive, oracle and/or seer session(s) and has no expectation of a specific result for which he or she holds Company, Iana Lahi and Spirit Gateways® Institute responsible

Beyond Mentoring™ and /or business intuitive, oracle and/or seer session(s) is not to be considered a substitute for medical treatment, mental, emotional or psychological counseling, financial management, investment services or the services of other professional and/or credentialed business advisors. Nothing contained within Beyond Mentoring™ program and/or business intuitive, oracle and/or seer session is intended to diagnose, cure, treat, or prevent any medical condition, emotional condition, psycho-biological condition, malady or disease, nor is it to be considered medical advice in any capacity. Company, Iana Lahi and Spirit Gateways® Institute is not providing, offering, or suggesting medical intuitive diagnosis, remediation or prescriptive remedy of any type, shape or form and is not making any claims or assertions to do so.

INDEMNIFICATION / HOLD HARMLESS

Client agrees at all times to defend, fully indemnify and hold Iana Lahi and Spirit Gateways® Institute and Company and any directors, managers, partners, affiliates, agents, team members, vendors, suppliers, contractors or other party associated with Company harmless from any causes of action, damages, losses, costs, expenses incurred as a result of Client’s use of Beyond Mentoring™ services and/or business oracle, intuition and seer session or email, text and Website content, as well as any third-party claims of any kind (including attorney’s fees) arising from Client’s actions as a direct or indirect result of Client’s participation in Beyond Mentoring™ services or a business intuitive, oracle and seers session.

Client understands and agrees that Company is not liable for any type of direct or indirect damages arising out of any single or collective Beyond Mentoring™ session and/or any single or multiple business oracle, intuition, and seer sessions, as a Long-Term client including any information contained therein, including but not limited to general, specific, incidental, consequential, punitive, or special damages.

Client agrees that Iana Lahi, Spirit Gateways® Institute and Company is not liable or responsible in any way for any loss incurred by Client or his/her business, professional or personal life, including but not limited to revenues, clients, business, goodwill, income, anticipated income, predicted income, sales numbers, loss of a sale, data, nor any computer failure, computer virus obtained by use of our Website, technical glitch or failure, defect or delay, or any other similar issue, as well as losses in your personal life.

Client agrees that their/your decision to use Company Website is wholly at Client’s own risk and any legal, financial business or personal ramifications resulting therefrom are yours alone as either a visitor to the Website or as a Client.

TERMINATION

Beyond Mentoring™ and/or business intuitive, oracle and seer services provided by Iana Lahi and Spirit Gateways® Institute are intended to offer insight about past and current life experiences as they may pertain to future events and different potential timelines for personal, professional, business and human resource and related legitimate business and/or humanitarian activities.

All questions, queries, and inquiries made by the Client must abide by and be in compliance with, all laws of the United States of America and any and all treaties, conventions and associations with similar international laws from all countries which are bound by such laws, treaties and conventions by association with the United States Of America.

If any questions, queries, or inquiries are made of Iana Lahi which directly, indirectly, overtly, or covertly are intended to contravene such applicable laws in any domestic and/or international jurisdiction, Iana Lahi reserves the right to refuse to answer any such question, query, or inquiry and to immediately terminate the specific Beyond Mentoring™ session and/or program in its entirety as well as any specific personal or business consultation and/or any immediate long-term client session and if warranted terminate the long-term client engagement.

Should Iana Lahi deem it legally necessary to terminate either the Beyond Mentoring™ program or a specific Business Consultation or Long-term Client session and/or a Long-term Client engagement, the Client forfeits any remaining time for that specific session as well as any right for financial refund for unused time. In the case of a Long-term Client, this includes forfeiting any monies paid in advance for future monthly engagement and any time remaining for future use of Iana Lahi for Beyond Mentoring™ services as well as professional intuitive, oracular and/or seer services.

Iana Lahi is not legally or financially liable nor responsible for any actions, verbal, physical, written, oral, video, multimedia or any interpretation or facsimile by the use of artificial intelligence in any form including voice, picture, video and/or animation in any type of contemporary media communications that a Client may take as a result of engaging in the Beyond Mentoring™ program and/or any, Business Consultation or Long-term Client engagement session and is legally absolved of any liability of any type and form in perpetuity.

Should Iana Lahi deem the question, query or inquiry of sufficient potential illegality, Iana Lahi is obligated by law to report the potential legal transgression to the appropriate government authorities in the U.S.A. and/or the country(s) in which the purported illegal actions are to or have taken place.

TESTIMONIALS

Iana Lahi, may at her sole discretion, request a personal testimonial from a Beyond Mentoring™ and/or Long-term Client for purposes of publicly acknowledging the results experienced by the Client. If the Client agrees to write or record a testimonial that will be published on the Website, their name, business name, industry and location will not be divulged and will be held in the strictest confidence. Clients are not obligated in any way to provide any form of testimonial or acknowledgement of the work done with the Client or for Iana Lahi or the Website.

INTELLECTUAL PROPERTY RIGHTS

Iana Lahi and Spirit Gateways® Institute retains all copyrights and other intellectual property rights in all original or derivative content associated with or included in websites, blogs, emails, texts, and other written and/or electronic communications. To copy, repost, alter, publish, sell, assist others in selling, manipulate, distribute, or in any way exploit any of the content or intellectual property is permissible only with express written consent of Iana Lahi or Spirit Gateways® Institute.

WEBSITE, EMAIL AND TEXT USE

Website users agree that your decision to use Company Website and emails is wholly at your own risk and voluntarily chosen by you. DISPUTE RESOLUTION

Should a dispute arise between Company, Iana Lahi and/or Spirit Gateways® Institute and Client, the parties agree to attempt to resolve by good-faith negotiations and discussions.

If unable to reach a resolution informally, Client and Company Iana Lahi and/or Spirit Gateways® Institute agree that all disputes will be submitted for arbitration by the American Arbitration Association within a reasonable amount of time. Both parties agree to participate in the arbitration process in good faith and in a manner that will effectively and efficiently resolve the dispute at hand, including the exchange of any materials, documents, or information. The decision made by the arbitrator is to be final and binding on both parties and is not to be appealed or otherwise set aside. It is to be enforceable in any court of proper jurisdiction as a judgement of law or decree.

Failure to see results is not a basis for a dispute. Purchase of a session or package does not make Company Iana Lahi and/or Spirit Gateways® Institute responsible for any specific results, or those results which have been achieved by other Clients.

MISCELLANEOUS

These Terms of Service and the Privacy Policy represent the complete and entire agreement between Iana Lahi and Spirit Gateways® Institute with respect to your use and access of the Website and your purchase of products and business intuitive, oracle and seer coaching services, and supersede all prior or contemporaneous agreements, negotiations, or understandings, whether oral or written.
